1. Definitions

• • "Platform" means the ReDuel website, mobile applications, APIs, and all related services operated by Wavestar Holdings LLC.
• • "Company," "we," "us," "our" refers to Wavestar Holdings LLC, a Delaware limited liability company.
• • "User," "you," "your" refers to any individual who accesses or uses the Platform.
• • "Creator" means a verified content creator or streamer who offers challenges on the Platform.
• • "Fan" means a User who books challenges, makes predictions, or engages with Creator content.
• • "Credits" means the virtual currency used on the Platform for predictions and engagement during the Waitlist Period.
• • "Prediction Market" means the parimutuel-style market where Users predict match outcomes.
• • "Waitlist Period" means the period before full public launch during which Users may join and earn Credits.
• • "KYC" means Know Your Customer identity verification procedures.

2. Eligibility & Account Requirements

2.1 Age Requirement

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is greater), to use the Platform. By creating an account, you represent and warrant that you meet this requirement.

2.2 Geographic Restrictions

The Platform is intended for use in jurisdictions where prediction markets and gaming entertainment are lawful. You are solely responsible for determining the legality of your use of the Platform in your jurisdiction. We reserve the right to restrict access based on your geographic location.

2.3 Account Registration

To access certain features, you must create an account by providing accurate, current, and complete information including your phone number for verification. You agree to:

• • Provide truthful and accurate registration information
• • Maintain the security and confidentiality of your account credentials
• • Promptly update any changes to your information
• • Accept responsibility for all activity under your account
• • Maintain only one (1) account per person — multi-accounting is strictly prohibited
• • Not transfer, sell, or assign your account to any third party

2.4 Identity Verification (KYC)

We may require you to complete identity verification before accessing certain features, including prediction markets, wagering, withdrawals, or deposits exceeding specified thresholds. Verification may require government-issued photo identification, proof of address, Social Security Number (for U.S. users), and additional documentation as determined necessary. Failure to complete verification may result in restricted access or account suspension. See our KYC/AML Policy for full details.

3. Waitlist & Virtual Credits

3.1 Waitlist Credits

During the Waitlist Period, Users may earn virtual Credits through engagement activities including daily check-ins, referrals, streamer verification, and play-money predictions. Credits are promotional instruments with no inherent monetary value and are non-transferable between users.

3.2 Credit Conversion

Upon Platform launch, waitlist Credits may be converted to platform currency at a rate determined by us in our sole discretion. The announced conversion rate (100 Credits = $1.00 USD) is indicative and subject to change. We reserve the right to modify, cap, or discontinue the credit conversion program at any time.

3.3 Credit Forfeiture

Credits may be forfeited in the event of: violation of these Terms, fraudulent activity, exploitation of referral systems, manipulation of prediction markets, or account termination. Forfeited Credits carry no right to compensation.

3.4 Tier System

Users are assigned tiers (Bronze, Silver, Gold, Platinum, Diamond, Legend) based on accumulated Credits. Tier status provides promotional benefits but does not create any contractual obligation or guarantee of future benefits.

4. Prediction Markets & Wagering

4.1 Play-Money Predictions

During the Waitlist Period, all predictions are conducted using play-money Credits. No real currency is at stake. These predictions are for entertainment purposes only and do not constitute gambling, wagering, or financial investment.

4.2 Real-Money Prediction Markets (Future)

If and when real-money prediction markets are introduced, they will operate as parimutuel-style event contracts. Such markets will be subject to additional terms, regulatory requirements, and jurisdictional restrictions. Users will be required to complete full KYC verification and acknowledge all applicable risks before participating.

4.3 Market Integrity

The following are strictly prohibited and may result in permanent account termination:

• • Market manipulation, including coordinated trading to influence outcomes
• • Trading on material, non-public information about match outcomes
• • Use of bots, algorithms, or automated systems to place predictions
• • Wash trading (placing opposing predictions to circumvent rules)
• • Collusion between Users to rig markets or outcomes
• • Structuring transactions to avoid reporting thresholds

4.4 Settlement

Prediction markets are settled based on verified match outcomes. We reserve the right to void, cancel, or reverse markets in cases of disputed outcomes, evidence of manipulation, technical errors, or force majeure events. All settlement decisions are final and binding.

4.5 Responsible Wagering

We are committed to responsible wagering practices. When real-money features are available, Users will have access to deposit limits, loss limits, session time limits, cooling-off periods, and self-exclusion options. See our Responsible Gaming Policy for details.

5. Payments, Deposits & Withdrawals

5.1 Payment Processing

All financial transactions are processed through Stripe, Inc. and are subject to Stripe's terms of service and applicable payment network rules. By making deposits or receiving payments, you agree to Stripe's terms.

5.2 Platform Fee

ReDuel charges a platform fee of fifteen percent (15%) on challenge bookings. The fee is deducted before Creator payouts. We reserve the right to modify fee structures with thirty (30) days' notice.

5.3 Withdrawals

Withdrawals are subject to identity verification, compliance review, and applicable processing fees (standard: 2.9% + $0.30; instant: 1.5% additional). We reserve the right to delay withdrawals pending fraud review or regulatory compliance.

5.4 Tax Obligations

You are solely responsible for all tax obligations arising from your use of the Platform, including but not limited to income taxes on winnings. For U.S. users, we will issue IRS Form 1099 for net winnings exceeding $600 in a calendar year as required by federal law. We may withhold amounts required by applicable tax authorities.

6. Creator Terms

6.1 Creator Verification

To become a verified Creator, you must connect at least one supported streaming platform account (Twitch, YouTube, TikTok, Instagram, Kick) and meet the minimum follower threshold of 10,000 followers. Verification is subject to approval and may be revoked at our discretion.

6.2 Creator Obligations

• • Maintain active, legitimate streaming accounts on verified platforms
• • Honor accepted challenges and attend scheduled matches
• • Stream challenges publicly on a supported platform
• • Not artificially inflate metrics, follower counts, or engagement statistics
• • Comply with the Terms of Service of all connected streaming platforms

6.3 Creator Payments

Creators receive payouts through Stripe Connect. Payouts are made after challenge completion and any applicable dispute resolution period. Creators are responsible for setting up and maintaining their Stripe Connect accounts.

7. Prohibited Conduct

You agree not to:

• • Violate any applicable law, regulation, or third-party right
• • Create multiple accounts or use another person's account
• • Manipulate match outcomes, prediction markets, or referral systems
• • Use bots, scrapers, or automated systems to interact with the Platform
• • Harass, threaten, intimidate, or abuse other Users
• • Post or transmit content that is illegal, harmful, offensive, or infringing
• • Impersonate any person, entity, or ReDuel staff
• • Attempt to gain unauthorized access to the Platform, accounts, or systems
• • Use the Platform for money laundering, terrorist financing, or any illicit purpose
• • Circumvent geographic restrictions, age verification, or KYC requirements using VPNs or similar tools
• • Reverse engineer, decompile, or disassemble any part of the Platform
• • Structure transactions to evade reporting thresholds or regulatory requirements

8. Intellectual Property

8.1 Our IP

All content, trademarks, logos, service marks, trade names, design elements, and intellectual property displayed on the Platform are owned by or licensed to Wavestar Holdings LLC. You may not copy, reproduce, distribute, modify, or create derivative works without our express written consent.

8.2 User Content

By submitting content to the Platform (including usernames, messages, and challenge recordings), you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, and display such content in connection with operating and promoting the Platform.

8.3 DMCA

We respect intellectual property rights and respond to valid DMCA takedown notices. To report infringement, contact dmca@reduel.xyz with: identification of the copyrighted work, the allegedly infringing material, your contact information, and a statement of good-faith belief.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

We do not guarantee: continuous, uninterrupted, or secure access to the Platform; accuracy of prediction market odds or outcomes; the conduct, quality, or legitimacy of other Users or Creators; or that Credits or account balances will retain any particular value.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAVESTAR HOLDINGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Wavestar Holdings LLC and its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Platform; your violation of these Terms; your violation of any applicable law or third-party right; or your content submitted to the Platform.

12. Dispute Resolution & Arbitration

12.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and binding.

12.2 Class Action Waiver

YOU AGREE THAT ALL CLAIMS AND DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES.

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or other proprietary rights.

13. Termination

We may suspend or terminate your account at any time, with or without cause or notice, for any reason, including violation of these Terms, fraudulent activity, regulatory requirements, or extended inactivity. Upon termination: your license to use the Platform is revoked; any Credits or balances may be forfeited (except where prohibited by law); and provisions that by their nature should survive termination shall remain in effect.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform, email, or SMS at least thirty (30) days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. General Provisions

• • Entire Agreement: These Terms, together with our Privacy Policy, KYC/AML Policy, Community Guidelines, and Responsible Gaming Policy, constitute the entire agreement between you and Wavestar Holdings LLC.
• • Severability: If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall remain enforceable.
• • Waiver: No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
• • Assignment: We may assign our rights under these Terms. You may not assign your rights without our written consent.
• • Force Majeure: We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
